(OTC PINK: VSMR) (the “Company”) a publicly traded company and global leader in innovative solutions and services, is pleased to announce the unanimous decision by its shareholders to increase the Board of Directors by four seats. The resolution was initially approved by the existing Directors at a “special meeting” of the Board held on September 19, 2023 and subsequently ratified unanimously by the shareholders at the Annual Shareholder Meeting held in Mahwah, New Jersey on September 20, 2023, reflecting a shared commitment to enhancing the strategic and governance capabilities of the Board.
This unanimous decision by the shareholders underscores the company's commitment to enhancing corporate governance, bringing diverse perspectives to the board, and positioning Verify Smart Corp. for future growth and innovation. The addition of the four new seats will bring fresh insights and expertise to drive the company's strategic initiatives forward.

Termination of PCP Management and Consulting Agreement

(OTC PINK: VSMR) (the “Company”) announced today that it has terminated their Management and Consulting Agreement and subsequent Amendment No. 1 (the “Agreements”) with Perseverance Capital Partner LLC (“PCP”) for default, due to non-performance by PCP. The termination of the Agreements is specifically related to the default of several contractual deliverables and funding milestones due from PCP.
