Why MFA Matters

"2FA" & "MFA" Two and Multi-Factor Authentication

Verify Smart Corp is a publicly traded intellectual property company holding licensed rights to foundational patents in Two-Factor and Multi-Factor Authentication — the security standard now required across banking, telecommunications, cryptocurrency, and enterprise technology.

Security That Verifies the Person,

Not Just the Password.

Passwords alone no longer protect anyone. Multi-Factor Authentication requires a user to confirm their identity through more than one channel before a transaction or login is approved — and according to the Cybersecurity and Infrastructure Security Agency (CISA), enabling MFA can block the overwhelming majority of automated account- compromise attacks. What was once optional is now mandated or expected across banking, government, healthcare, and enterprise IT.

MFA is not a feature. It is infrastructure.

VSMR’s business is the intellectual property underneath it.

VSMR’s strategy is to monetize this portfolio through licensing, enforcement, and strategic partnerships while pursuing disciplined corporate growth.

Verify Smart Corp (OTCID: VSMR) holds licensed rights to patented Two-Factor and Multi- Factor Authentication technology — the identity verification framework securing electronic transactions across financial services, telecommunications, and digital assets.

Our
Story

Built on a Patent.
Focused on Its Potential.

The Company at a Glance

  • Publicly traded — OTC Markets under the symbol VSMR (OTCID)

  • Patent-driven — Licensed rights covering 2FA/MFA transaction verification in key jurisdictions

  • Licensing-focused — Revenue strategy built on licensing, partnership, and portfolio development

  • Actively governed — Independent board, outside counsel, and a commitment to transparent shareholder communication

Verify Smart Corp was incorporated in 2006 and adopted its current name and mission in 2009, when the Company began developing internet security technology for the prevention of payment card fraud.

Today, VSMR’s core asset is its licensed rights to patented Two-Factor and Multi-Factor Authentication technology — a method of verifying a user’s identity in an electronic transaction through multiple independent channels.

The VSMR Patent Portfolio

The Company’s licensed patent rights cover a method of authenticating a user in an electronic transaction through a secondary verification channel — the architecture underlying modern 2FA/MFA implementations in payments and account access.

The patent family includes United States Patent No. 8,285,648, Canadian Patent No. 2,664,680, and South Korean Patent No. 10-1309594.

Verify Smart Corp intends to file formal correspondence with the USPTO to address the US patent's current status and to record the Company's position on patent protection in the United States. No assurance can be given as to the timing or outcome of the USPTO proceedng.

VSMR’s strategy centers on three pillars:

License. Making the patented technology available to financial institutions, telecommunications providers, cryptocurrency platforms, and enterprise technology companies.

Protect. Maintaining and defending the portfolio through active prosecution, maintenance, and enforcement where warranted.

Grow. Expanding the Company’s asset base through complementary technology, strategic ventures, and disciplined corporate development — including the Company’s stated objective of uplisting to the OTCQB market tier.

July 18, 2026

To Our Shareholders, Strategic Partners, and Friends,

Since the beginning of the year, our team has been focused on one objective: building a stronger foundation for Verify Smart Corp.'s future.

Meaningful progress is often made behind the scenes. While many of our initiatives are not immediately visible, they are essential to creating a company positioned for long-term growth, stronger governance, and expanded commercial opportunities.

Our efforts have centered on strengthening Verify Smart's intellectual property portfolio, enhancing our corporate infrastructure, expanding our strategic relationships, and increasing the Company's visibility within the investment and business communities. We continue to evaluate opportunities that support the commercialization of our authentication technologies while exploring partnerships that complement our long-term business strategy.

One of our primary priorities has been protecting and expanding the value of the Company's intellectual property. We believe innovation is only as valuable as the protections surrounding it, and we have devoted significant time and resources to advancing that strategy. Our team continues to evaluate opportunities that may increase the commercial reach of our technology through licensing discussions, strategic collaborations, and market expansion initiatives.

At the same time, we are committed to strengthening the Company's operational foundation. This includes improving corporate communications, enhancing investor outreach, refining our public-facing digital presence, organizing internal systems, and developing the infrastructure necessary to support future growth. While these initiatives may not always generate headlines, they are critical components of building a disciplined and sustainable public company.

Transparency remains one of our guiding principles. As an OTC-listed company, we recognize the importance of maintaining clear communication with our shareholders and stakeholders. We are committed to providing timely updates through our official corporate channels while continuing to improve the accessibility and quality of the information we make available.

Our vision extends well beyond today's milestones. We are focused on building an organization that combines proprietary technology, strategic partnerships, disciplined execution, and responsible corporate governance. Every decision we make is intended to strengthen the long-term value of Verify Smart Corp. and position the Company for future opportunities.

On behalf of our Board of Directors, executive leadership, and the entire Verify Smart team, I would like to sincerely thank our shareholders for your continued confidence, patience, and support. Building lasting value requires persistence, thoughtful execution, and a long-term perspective. Multi-Factor Authentication MANDATE

by 2025

The growing importance of secure digital identity has made multi-factor authentication (MFA) a foundational component of modern cybersecurity. In recent years, the U.S. Government has accelerated its cybersecurity modernization efforts through initiatives such as Executive Order 14028 and the Federal Zero Trust Strategy (OMB Memorandum M-22-09), which require federal agencies to implement phishing-resistant multi-factor authentication as part of a broader Zero Trust security framework.

These initiatives reflect a broader industry trend toward stronger identity verification and access controls across government, financial services, healthcare, critical infrastructure, and enterprise environments. Verify Smart believes this continued emphasis on advanced authentication technologies underscores the long-term importance of trusted digital identity solutions and supports the Company's strategic focus on the commercialization of its intellectual property portfolio. While future commercial opportunities cannot be assured, management believes the global demand for stronger authentication and identity security continues to create an attractive environment for innovation and strategic partnerships.

What Multi-Factor Authentication Is — and
Why It Became the Standard

Every secure login you complete with a code sent to your phone, a push notification, or a biometric check is Multi-Factor Authentication at work.

MFA requires that a user prove identity through at least two independent factors — something you know (a password), something you have (a device), or something you are (a biometric) — before access is granted or a transaction is approved.

The reason for its universal adoption is simple: stolen credentials are the leading cause of account compromise, and a second verification channel defeats the vast majority of those attacks. Regulators, card networks, and enterprise security frameworks now treat MFA as baseline practice rather than an enhancement.

Canadian Patent Defense

Verify Smart Corp. is pleased to announce another significant milestone in its global intellectual property strategy through the continued expansion of patent and trademark protection for its MFA technology in Canada. By strengthening its international IP portfolio, the Company is enhancing the long-term value of its technology platform while supporting future licensing, commercialization, and strategic partnership opportunities worldwide.
